Mrs. Universe USA – State License

This State License Application & Operations Agreement (“Agreement”) constitutes a State License Application and, upon approval and acceptance by MYDREAM GLOBAL / MYDREAM ENTERTAINMENT LLC, becomes a binding State License Onboarding & Operations Agreement.

MyDream Global is the sole controlling entity and principal authority for all agreements, operations, legal governance, brand ownership, digital systems, event structures, voting systems, registrations, licensing relationships, and global brand governance within the MyDream ecosystem.

Programs operating under the MyDream ecosystem include:

MyDream Global Foundation
MyDream Network
MyDream Talent Agency
New York Top Model Academy
Mydream Times
Mydream Magazine
Mydream Unstoppable Magazine

as well as any additional brands, divisions, subsidiaries, productions, publications, services, platforms, or programs currently existing or later created under MyDream Global ownership or control.

These brands operate solely as programs or divisions of MyDream Global and are not separate contractual parties to this Agreement.

1. PURPOSE & LEGAL STATUS

This Agreement grants the Licensee a limited, revocable, non-transferable, and non-sublicensable license to operate an approved MyDream State Pageant or related brand program within an approved territory.

All intellectual property, event formats, titles, structures, systems, digital platforms, operational processes, brand identities, crowns, sashes, certificates, promotional materials, voting systems, broadcast rights, and associated brand rights remain the exclusive property of MyDream Global / MyDream Entertainment LLC worldwide in perpetuity.

This Agreement grants operational rights only. No ownership, partnership, employment relationship, joint venture, territorial ownership, franchise equity, or permanent exclusivity is granted under this Agreement.

3. LICENSE SCOPE

Territory Type: Single U.S. State
License Type: Exclusive State License (subject to compliance)

the Agreement remains active
all fees are paid
the Licensee remains in good standing
MyDream operational standards are followed

The Licensor reserves the right to suspend, revoke, or restrict exclusivity if compliance requirements are not met.

5. GRANT OF STATE LICENSE

The Licensor grants the Licensee the right to organize, promote, and conduct the Mrs. Universe USA State Pageant.

6. TERM & LICENSE FEES

License Term: One (1) Year

Official Franchise License Fee:
USD $7,000 (Seven Thousand United States Dollars)

Payment Structure:

50% due upon signing the agreement
50% due before the State Pageant event

All payments made to MyDream Global / MyDream TV USA / MyDream Entertainment LLC are final and non-refundable.

7. NON-REFUNDABLE PAYMENT ACKNOWLEDGMENT

cancellation of event by Licensee
suspension or termination
non-renewal

Payments are considered fully earned upon receipt.

8. REGISTRATION PLATFORM

All contestant registrations must be completed through the official platform:

www.mydreamnetwork.com

10. LICENSEE OPERATIONAL RESPONSIBILITIES

organizing the state pageant event
recruiting contestants
managing local marketing
event production
local sponsorship acquisition
contestant preparation

Revenue sources may include contestant entry fees, ticket sales, sponsorship agreements, and event partnerships.

20. GOVERNING LAW

This Agreement shall be governed under the laws of the State of New Jersey, United States of America.

21. ENTIRE AGREEMENT

This document represents the entire agreement between both parties and supersedes any prior discussions, negotiations, or agreements.
